Terms of Use
1. The service
Canopyfolio provides US business discovery and research tools, including search over a shared business catalog, workspace features (such as saves, lists, and notes), plan-based contact visibility, and optional exports. The catalog is a research aid. We may change, suspend, or discontinue features with reasonable notice when practical. Prices are denominated in USD.
Canopyfolio is not an outreach sequencer, bulk email platform, dialer, or replacement for licensed data-broker compliance programs. Phone and email fields may appear in the product for research; any calling, messaging, or marketing you perform is solely your responsibility.
2. Eligibility & accounts
- You must be able to form a binding contract and use the service for lawful business purposes.
- Sign-in is via Google (and, in limited environments, other configured providers).
- You are responsible for activity under your account and for keeping your Google credentials secure.
- One Google identity maps to one Canopyfolio user. Organizations isolate workspace data; you may not attempt to access another organization’s data.
- We may refuse, suspend, or terminate accounts that appear abusive, fraudulent, or in violation of these Terms.
3. Plans, quotas & freemium access
Features, quotas, and contact visibility depend on the plan shown in the product (for example Explorer / free versus paid tiers). Free access may include limited search previews, masked contact fields, and other conversion-oriented limits. Paid plans may unlock full contact fields, higher or unlimited search, and export allowances as described at checkout and in Account settings.
We may adjust plan packaging prospectively. We may enforce rate limits, abuse detection, and fair-use controls even on “unlimited” search labels where needed to protect platform stability.
4. Billing & cancellations
- Paid subscriptions are processed through PayPal. By upgrading, you authorize recurring charges according to the plan and billing interval you select (monthly or annual), until cancelled.
- You can cancel from Account settings. Cancellation stops future PayPal renewals and returns the organization to the free Explorer entitlements according to product rules. Fees already charged for the then-current period are generally non-refundable except where required by law or expressly stated by us in writing.
- Failed payments, chargebacks, or PayPal disputes may result in immediate downgrade or suspension.
- Taxes may apply based on your location and PayPal’s checkout presentation.
5. Acceptable use
You agree not to:
- Scrape, bulk harvest, mirror, or resell the catalog or exports beyond your plan rights, or build a competing dataset primarily from Canopyfolio outputs.
- Bypass, probe, or circumvent authentication, plan limits, export caps, masking, or security controls.
- Use contact data obtained through the service for unlawful spam, harassment, fraud, discrimination, or any purpose prohibited by applicable telemarketing, email, privacy, or consumer-protection laws.
- Upload malware, interfere with other customers, or overload the service with automated traffic unreasonable for interactive research use.
- Misrepresent your identity, affiliation, or authority to act for an organization.
- Use the service to provide illegal surveillance, doxxing, or non-consensual intimate imagery, or to target minors.
We may investigate suspected violations and remove data, throttle access, or terminate accounts. We may cooperate with law enforcement when legally required.
6. Your content & workspace data
You retain rights to notes, tags, list names, and other content you submit. You grant us a limited license to host, process, and display that content solely to operate the service for your organization. You represent that you have the rights needed to submit that content and that it does not infringe others’ rights or violate law.
7. Our IP & license to you
Canopyfolio, its software, branding, and the compiled catalog/database structure are owned by us or our licensors. Subject to these Terms and your plan, we grant you a limited, non-exclusive, non-transferable, revocable license to access the service for your internal business research. No other license is granted. You may not copy, reverse engineer (except where mandatory law permits), or publicly redistribute the catalog.
8. Third-party services
The service depends on third parties such as Google sign-in and PayPal. Their terms and privacy policies apply to their processing. Outages or policy changes at those providers may affect Canopyfolio. Links to third-party sites are provided for convenience; we are not responsible for their content.
9. Disclaimers
THE SERVICE AND CATALOG ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. Catalog listings may be incomplete, outdated, duplicated, or inaccurate. We do not guarantee that any phone, email, website, or social field is current, consent-ready, or suitable for a particular outreach channel. Research results are not legal, compliance, or credit advice.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, Canopyfolio AND ITS OPERATORS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM YOUR USE OF THE SERVICE OR RELIANCE ON CATALOG DATA—EVEN IF ADVISED OF THE POSSIBILITY.
OUR TOTAL LIABILITY FOR ANY CLAIM RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICE IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) USD $50. Some jurisdictions do not allow certain limitations; in those cases our liability is limited to the fullest extent permitted.
11. Indemnity
You will defend and indemnify us against claims, damages, and expenses (including reasonable attorneys’ fees) arising from your misuse of the service, your outreach or other use of catalog contact fields, your content, or your violation of these Terms or applicable law.
12. Suspension & termination
You may stop using the service and delete your account at any time from Account settings. We may suspend or terminate access for violations, risk, non-payment, or extended inactivity. Upon termination, your license ends. Provisions that by nature should survive (including IP, disclaimers, limitations, indemnity, and billing obligations already incurred) will survive.
13. Privacy
Our Privacy Policy explains how we handle account and usage information. Together with these Terms it forms part of your agreement with us.
14. Changes to the Terms
We may update these Terms by posting a revised version with a new “Last updated” date. Material changes will apply prospectively. Continued use after the effective date constitutes acceptance where permitted by law. If you do not agree, stop using the service and delete your account.
15. Governing law
Except where mandatory local law provides otherwise, these Terms are governed by the laws applicable to the operators of Canopyfolio, without regard to conflict of law rules. Courts in a venue we designate for disputes will have exclusive jurisdiction, except that we may seek injunctive relief in any jurisdiction to protect our IP or security.
16. Miscellaneous
- These Terms are the entire agreement regarding the service and supersede prior terms on the same subject.
- If a provision is unenforceable, the remainder stays in effect.
- Failure to enforce a provision is not a waiver.
- You may not assign these Terms without our consent; we may assign them in connection with a reorganization or sale.
